Agreement to These Terms
These Terms and Conditions ("Terms") govern your access to and use of nexauniversalsup.com (the "Website") and the communications, chat, quotes and related services offered by NEXA UNIVERSAL SUPPLIES LLC ("Nexa," "we," "us" or "our") (together, the "Services"). By using the Services, you agree to these Terms and to our Privacy Policy. If you use the Services on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf. If you do not agree, do not use the Services.
Eligibility and Business Use
The Services are intended for business, government and institutional purchasers located in the United States. You must be at least 18 years old to use the Services. You agree to provide accurate, current and complete information in any form, chat or communication you send us.
Acceptable Use
You agree not to: (a) use the Services for any unlawful, fraudulent or harmful purpose; (b) submit false information or impersonate any person or entity; (c) send spam, malware or unsolicited advertising through our forms or chat; (d) attempt to gain unauthorized access to, interfere with or disrupt the Website or its servers; (e) scrape, copy or harvest content or data by automated means without our written permission; or (f) use the Services in violation of any applicable law, including export control and anti-corruption laws.
Quotes, Pricing and Product Information
Information on the Website is provided for general information about our supply categories and does not constitute an offer to sell. Quotes are valid only for the period stated in the quote and are subject to product availability, manufacturer changes and the terms in the quote. A quote becomes binding only when accepted in a written purchase order, contract or other written agreement.
Product names, descriptions, specifications and images are provided by manufacturers or are illustrative, and may change without notice. Images on the Website are representative and may not depict the exact products supplied. We work to keep information accurate, but errors may occur; we reserve the right to correct errors and to update information at any time before an order is accepted.
Orders, Government Contracts and Purchase Orders
Orders are subject to acceptance by Nexa. When you purchase under a government contract, task or delivery order, purchase order, government purchase card transaction or other written agreement, the terms of that agreement, together with applicable procurement regulations (such as the Federal Acquisition Regulation (FAR), agency supplements, and state or local procurement laws), govern the transaction and take precedence over these Terms to the extent of any conflict. Nothing in these Terms modifies the terms of any government contract.
Shipping, Delivery and Risk of Loss
Delivery dates and lead times provided in quotes are estimates based on manufacturer and carrier information and are not guaranteed unless expressly stated in the accepted order or contract. Unless otherwise agreed in writing, title and risk of loss pass upon delivery to the destination specified in the order. Please inspect shipments upon receipt and report any damage, shortage or discrepancy within the time stated in your order or, if none is stated, within five (5) business days.
Product Warranties and Returns
Products are covered by the applicable manufacturer warranties, which we pass through to you to the extent permitted. Returns, exchanges and credits are handled according to the terms of your order or contract and the manufacturer's return policy. Certain items, such as opened hygiene products, chemicals and special-order items, may not be returnable. Contact us before returning any product to receive return instructions.
SMS / Text Messaging Terms
NEXA UNIVERSAL SUPPLIES LLC ("Nexa") offers a text messaging program (the "Program") to customers and prospective customers who opt in on our Website forms or chat. By opting in, you agree to these SMS Terms.
- Program name and description: Nexa Universal Supplies Customer Care sends quote follow-ups, order and delivery updates and responses to your inquiries. Nexa Universal Supplies Offers sends marketing messages such as product offers and procurement updates, only if you separately opt in to marketing messages.
- How you opt in: by entering your mobile number and checking the corresponding unchecked consent box on our quote form, quick quote form or chat, and submitting it. Consent is not a condition of purchase.
- Message frequency: message frequency varies based on your requests and interactions with us.
- Cost: message and data rates may apply for any messages sent to you from us and to us from you. If you have questions about your text or data plan, contact your wireless provider.
- Opt out: you can cancel the Program at any time. Text STOP to the number that messaged you, or to (888) 774-5295. After you send STOP, we will send you one message confirming that you have been unsubscribed; after that, you will no longer receive text messages from us unless you opt in again. You can also opt out by any other reasonable means, such as emailing info@nexauniversalsup.com. To rejoin, sign up again as you did the first time or reply START.

- Carrier liability: carriers are not liable for delayed or undelivered messages.
- Eligibility: you must be at least 18 years old and the account holder of the mobile number, or have the account holder's permission, to participate.
- Privacy: No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Information sharing to subcontractors in support services, such as customer service, is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties. See our Privacy Policy.
Email and Phone Communications
By submitting a form or chat, you agree that we may contact you by email or phone about your request. Marketing emails comply with the CAN-SPAM Act and include an unsubscribe link. Calls and text messages for marketing purposes are made only with the consent required by the Telephone Consumer Protection Act (TCPA), the Florida Telephone Solicitation Act and other applicable laws. Intellectual Property

OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE WEBSITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). This section does not limit liability that cannot be limited under applicable law, and it does not modify remedies available under a government contract or written purchase agreement, which are governed by that agreement.
Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Nexa from claims, losses and expenses (including reasonable attorneys' fees) arising from your misuse of the Website or your violation of these Terms. This section does not apply to federal, state or local government entities to the extent such obligations are prohibited by law, including the Anti-Deficiency Act.
Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, except that disputes under a federal government contract are governed by applicable federal law, including the Contract Disputes Act. Before filing a claim, you agree to contact us and try to resolve the dispute informally for at least thirty (30) days. Subject to applicable law and any controlling contract, the state and federal courts located in Florida will have exclusive jurisdiction over disputes arising from these Terms or the Website.
